6.6 We do not keep your personal data for any longer than is necessary in light of the reason(s) for which it was first collected. Data will therefore be retained for the following periods (or its retention will be determined on the following bases):

6.6.1 If you invest your personal data, logs of your investment activity, and logs of any communications will be stored for a minimum of seven years after you stop using the platform in case it is needed to help fight financial crime;

6.6.2 Your personal data such as your email, personal details, and contact information will be stored until or unless you decide to close your Cognition account or you ask for it to be removed or changed.

7. How and Where Do We Store Your Data?

7.1 We only keep your personal data for as long as We need to in order to use it as described above in section 6, and/or for as long as We have your permission to keep it.

7.2 Your data will only be stored within the European Economic Area (“the EEA”) (The EEA consists of all EU member states, plus Norway, Iceland, and Liechtenstein).

7.3 Data security is very important to Us, and to protect your data We have taken suitable measures to safeguard and secure data collected through Our Site.

7.4 Steps We take to secure and protect your data include:

7.4.1 We encrypt all data that is held on our website servers.

7.4.2 We take cyber security very seriously and we have had the site stress tested by cyber security specialists – the NCC Group. We will continuously review our cyber security to ensure it is up to date.

7.4.3 Access to website customer data is restricted to the directors of Cognition and is secured with 2-Factor-Authentication.

7.4.4 Any computer or email that holds sensitive customer data is secured with a strong password and the passwords are updated regularly.

8. Do We Share Your Data?

8.1 We may share your data with other companies in Our group to provide you with a seamless service.

8.2 We may sometimes contract with third parties to supply services to you on Our behalf. These may include payment processing, search engine facilities, advertising, and marketing. In some cases, the third parties may require access to some or all of your data. Where any of your data is required for such a purpose, We will take all reasonable steps to ensure that your data will be handled safely, securely, and in accordance with your rights, Our obligations, and the obligations of the third party under the law.

We use a session Cookie to remember your login for you and your Membership status. These we deem strictly necessary to the working of our Site. If these are disabled then various functionalities on our Site will be broken.

1. Property prices could fall meaning that the value of your shares can decline.

The value of your investment is based upon the price and values of the property in the market at the time of funding. For example, an investment costing £100,000 will have 100,000 shares available to purchase at £1 per share.

Upon completion or during the construction we have the property valued by independent surveyors. We then finalise/update the value of your investment based upon this valuation. Based on the example above if the investment is re-valued at £90,000, then each of the 100,000 shares will now be worth £0.90.

It is good financial practice to diversify your portfolio by investing only a portion of your disposable income in a variety of different investments across different platforms in order to mitigate risk.

What do we do to minimise this risk?

Whilst we cannot control the movement of the market, we vet properties to minimise the risk of the property price falling and maximise the chance of the price rising. We do this by providing houses that have very strong rental demand and which have a history of being rented out year on year.

2. There may be periods when the property is not rented out and you will not receive any rent.

For those who invest £50,000 or more and opt to partake in the long term rental income reward. In the event that a property is not rented out or some of the rooms are not rented out then the amount you receive in rental income will fluctuate accordingly. In some instances you may not receive any monthly rental income or the rental income you receive may be less than the forecast.

What do we do to minimise this risk?

We work with the best-letting agents we can to minimise this risk and only pick properties that have a strong rental history going back many years. Whilst demand may change, we only pick houses in areas with a strong current or expected demand, aiming to minimise the risk that they will be empty for any extended periods.

3. If you want to exit the scheme early then you must find/provide a buyer to replace your investment when you want to exit.

Investments in Cognition are illiquid in nature as they are not listed on a public exchange. This means that you may not be able to easily sell your investment in a given property, or you may not be able to find a buyer at all, before the end of the investment term. If you choose to list your investments for sale, we will notify other investors and some third parties about the opportunity. Depending on the stage of the project some of the profits may have materialised and in that event we would pay out the initial capital plus the pro-rata profit share, but please note you may lose some or all of the profit forecasted. There must be someone willing to purchase your shares at the market rate for you to sell them.

What do we do to minimise this risk?

We will actively market your investment and do our best to facilitate the replacement of your investment position. However, we cannot guarantee that a buyer for your capital will be found.

Note: You shouldn’t invest money you will need access to immediately. Cognition works best if viewed as a medium to long-term investment.

4. Our forecasts and past performance help with the guesswork but we are only human and can’t predict the future.

Past performance of a property is not indicative of future results, and forecasts of future results are not guaranteed.

What do we do to minimise this risk?

We base our forecasts on long-term historical data to ensure that any predictions are resilient to short-term changes in prices. We also ensure that all costs, insurance and taxes are accounted for with margins to ensure that a cushion is in place should something untoward happen. (More on this below)

All of these costs are based on the experience of the Cognition Group delivering schemes of various sizes across the world. Despite our best efforts, the true returns you receive may be higher or lower than we predict.

5. No coverage under the Financial Services Compensation Scheme (FSCS)
